Terms & Conditions

Engineering Services, Industrial Automation Systems and Custom Machines

1. Scope

These Terms & Conditions apply to engineering services, automation projects, prototypes, production equipment, software development, and related services provided by Saša Milovanović, s.p. ("Provider") to business customers ("Client").

The Provider specializes in custom-engineered solutions. Each project is individually defined according to the Client's technical requirements and operational needs.

2. Project Definition and Requirements

Before project execution, the Client and Provider shall define the project scope, objectives, expected functionality, and acceptance criteria.

The Client is responsible for providing accurate and complete information regarding:

  • product characteristics
  • production requirements
  • cycle times
  • quality requirements
  • existing equipment interfaces
  • applicable standards and regulations

If requirements are incomplete or change during development, the Provider may propose adjustments to the project scope, timeline, and price.

3. Engineering and Development Projects

Custom automation projects often involve development activities where the final solution is refined through testing and validation.

Unless explicitly guaranteed in writing:

  • prototype performance is considered subject to further optimization
  • estimated cycle times and performance values are targets, not guarantees
  • feasibility studies and concepts do not represent final production solutions

The Provider will use professional engineering practices to achieve agreed objectives but cannot guarantee results dependent on unknown technical factors or third-party systems.

4. Changes to Project Scope

Any changes requested after project approval may affect:

  • mechanical design
  • electrical design
  • software development
  • purchased components
  • delivery schedule
  • project cost

Additional work caused by changes outside the original scope will be charged separately.

5. Acceptance Testing

Where applicable, acceptance may include:

  • Factory Acceptance Testing (FAT)
  • Site Acceptance Testing (SAT)
  • agreed performance verification

Acceptance criteria must be defined before testing.

Minor deviations that do not significantly affect the intended operation of the system shall not prevent acceptance.

6. Integration and Production Environment

The Provider designs systems according to available information and agreed conditions.

The Client is responsible for ensuring:

  • suitable production environment
  • correct installation conditions
  • utilities (electrical power, compressed air, network, etc.)
  • operator training and safe operation
  • compliance requirements specific to the Client's facility

The Provider is not responsible for production losses caused by factors outside the delivered system.

7. Software and Automation Systems

Software developed by the Provider, including PLC programs, HMI applications, embedded software, scripts, and reusable libraries, remains the intellectual property of the Provider unless explicitly transferred by written agreement.

The Client receives the right to use delivered software as part of the supplied system.

Modification, copying, or reuse of software components outside the delivered equipment requires written permission.

8. Engineering Know-How and Intellectual Property

The Provider retains ownership of:

  • general engineering methods
  • design approaches
  • reusable software components
  • libraries
  • know-how developed through experience

Project-specific deliverables may be transferred according to the agreed contract.

Unless otherwise agreed, the Provider may use general knowledge gained during the project for future engineering activities.

9. Third-Party Components

Automation systems may include third-party components such as:

  • robots
  • controllers
  • sensors
  • drives
  • industrial computers
  • purchased mechanical parts

Warranty and support for such components are subject to the original manufacturer's conditions.

10. Warranty

The Provider warrants that delivered systems conform to agreed specifications.

Warranty does not cover:

  • normal wear
  • consumable components
  • improper operation
  • unauthorized modifications
  • incorrect maintenance
  • external equipment failures

11. Limitation of Liability

The Provider shall not be liable for indirect damages, including:

  • production interruption
  • loss of profit
  • missed production targets
  • consequential damages

The Provider's liability is limited to the value of the affected project, unless mandatory law requires otherwise.

12. Confidentiality

Both parties shall maintain confidentiality regarding technical, commercial, and operational information obtained during cooperation.

This obligation remains valid after completion of the project.

13. Payment

Payment terms are defined in the quotation or contract.

For custom equipment projects, the Provider may require milestone payments, including:

  • project start payment
  • design approval milestone
  • component procurement milestone
  • FAT completion milestone
  • final delivery milestone

14. Governing Law

These Terms are governed by the laws of Slovenia.

Any disputes shall be resolved by the competent court according to applicable jurisdiction.
